As the Administrator 3, assist with day-to-day administration of the company’s stock incentive and employee stock purchase plans globally. Assist with maintaining tools, systems, and processes for administering these plans. Partner with key stakeholders in Finance, Accounting, Legal, Tax, and HR teams. Global stock administration team reports within the Securities and Corporate Governance team in Legal.
- Manage day-to-day activities related to stock incentive and employee stock purchase plans.
- Partner with HRIS to maintain stock database (Equity Edge Online).
- Coordinate with transfer agent and brokers for timely transaction settlement and reconciliation.
- Prepare monthly/quarterly and ad-hoc reports for HR, accounting, payroll, and treasury teams; ensure compliance with federal/state regulations and securities laws.
- Maintain company intranet page for Global Stock Administration.
- Maintain and update Insider Trading Clearance Request application and related processes/blackout windows.
- Maintain and update list of insiders, distribute and track insider materials.
- Prepare and distribute year-end tax statements to participants.
- Prepare/distribute online grant agreements, providing timely communication to participants.
- Administer the Company’s global Employee Stock Purchase Plan and related activity.
- Process global equity activity, including grants/releases; report income/tax withholding to global Payroll teams.
- Manage impact on global equity during global mobility cases including participant transfers.
- Perform quarterly and yearly reconciliation/audit of data sets (W-2 income records, ESPP contributions, tax jurisdictions, tax withholding rates).
- Prepare, mail, and process tax-disposition surveys at year-end.
- Prepare year-end equity reports for international locations.
- Coordinate and report 1099-MISC income for non-employees at year-end.
- Review equity tables for inclusion in proxy statement.
- Assist with drafting/reviewing Forms 3, 4, 5.
- Manage country-specific regulatory filings and compliance (e.g., Malaysia IM filings; China SAFE).
- Provide excellent customer service to equity participants.
- Keep current with regulatory, legal, and other developments affecting equity compensation (e.g., SEC, FASB, IRS, non-U.S. tax rules).
Requirements:
- 5+ years of experience in global stock administration, public company, including experience with RSUs, performance-based stock units, ESPPs.
- Bachelor’s Degree or equivalent.
- Maintain confidentiality and conduct business professionally.
- Strong attention to detail, accuracy.
- Effective written and oral communication.
- Advanced knowledge of Equity Edge Online.
- Proficient with MS Word and Excel.
- Optional: Certified Equity Professional (CEP) designation.
