Role SummaryThe Manager, Stock Administration is responsible for the management and day-to-day administration of NIQ’s equity compensation processes, policies and programs. This is an individual contributor role with no direct reports.
Essential Functions and Responsibilities
- Administer the company's equity compensation programs, including profits interests, restricted stock units (RSUs), performance stock units (PSUs), employee stock purchase plans (ESPPs), and any additional forms of equity.
- Process grants, exercises, lapses, vests, and payroll and tax reporting for equity compensation.
- Maintain accurate records of all equity transactions and ensure compliance with relevant regulations and company policies.
- Participate in the testing and implementation of NIQ’s new stock administration system.
- Maintain the list of employees affected by trading blackout periods and pre-clearance requirements and enforce insider trading policy restrictions, including coordination with brokers on Rule 10b5-1 trading plans.
- Maintain and update the company’s insider trading clearance processes and trading blackout window and ensure compliance with federal/state regulations and securities laws.
- Prepare and distribute equity grant documentation and communications to employees.
- Collaborate with HR, Legal, Finance, and external vendors to ensure seamless execution of stock administration processes.
- Conduct regular audits of equity data to ensure accuracy and compliance.
- Participate in the resolution of equity-related issues and inquiries.
- Assist with the preparation of equity-related reports and disclosures for financial reporting and regulatory filings.
- Assist with preparation of Section 16 reports (Forms 3, 4, 5) and tables for 10Q/10K/Proxy filings.
- Monitor terminations, deceased employees, and retirement eligible demographics to accurately and timely address the vesting and other equity related transactions.
- Provide adequate information and timely response related to equity plans and transactions to Finance, HR, Tax, Payroll, Legal, and SOX Compliance departments to ensure effective equity transaction processing and financial reporting.
- Manage impact on global equity pursuant to global mobility cases including participant transfers.
- Document new processes or update documentation as required.
Education and Experience
- Bachelor’s degree in business, Finance, HR or related field; or at least 5+ years of work experience in lieu of a degree.
- 3+ years of experience supporting the administration of equity plans, Finance/Accounting, or Executive Compensation.
- Understanding of compliance and regulations related to stock administration.
- Knowledgeable on legislation affecting pay programs including SOX and regulatory compliance, federal/state rules, regulations regarding compensation, and the SEC’s Executive Compensation requirements.

Preferred Qualifications
- Prior experience with Workday or other HRIS systems and Fidelity’s stock administration platform.
- Certified Equity Professional (CEP) designation preferred.
- Comprehensive knowledge of various types of equity awards, programs, governing stock plan documents, share reserve tracking, and annual filings.
- Ability to work in a fast-paced and collaborative environment and adjust to changing priorities.
- Proficient in MS applications (Word, PowerPoint, SharePoint).
