Full-Time Associate Director, Legal

Reporting to Head of Legal, this role is within the MUFG legal team requiring legal advice supporting the legal and regulatory needs of our growing global business at MUFG Investor Services.

Responsibilities

• Provide legal advisory, regulatory and documentation support to core businesses (fund administration, registrar, transfer agent, investor AML services, banking, custody, trustee, regulatory reporting, registered office and corporate secretary).
• Provide legal advice and documentation support, managing timelines and expectations, reviewing and drafting legal documents, negotiating agreements, liaising with internal stakeholders, seeking sign-off, dealing with execution and providing legal opinions.
• Documentation includes service agreements (administration, middle office, BPO, FATCA, regulatory reporting, declarations of trust, bank account mandates, terms and conditions, NDAs), intragroup and outsourcing agreements, vendor agreements.
• Respond to legal queries from operational departments, internal control groups, client teams, senior management, and entity boards.
• Advise the business on day-to-day legal and regulatory matters across all key jurisdictions.
• Manage/coordinate with external legal counsel when required, advising senior management and supporting business functions.
• Support, and manage projects and new business initiatives.
• Coordinate ongoing maintenance and creation of precedents in response to legal, regulatory, operational, and market developments.
• Provide advice to, or represent legal on internal committees.

Qualifications

• Qualified lawyer with 3-5 years' post-qualification experience and a valid practicing certificate in England and Wales.
• Experience in an in-house legal role ideally with a bank, fund manager, or fund service provider.
