As Commercial Counsel at 0x, you’ll own our commercial legal function and be the go-to partner for Business Development and GTM. Your immediate focus will be drafting, negotiating, and scaling commercial agreements. Over time, this role may expand into broader corporate matters such as corporate governance and employment law issues. This is a high-impact opportunity to build a lean, scalable legal function in a fast-moving crypto environment.
Key Responsibilities- Lead commercial contracting. Draft, negotiate and review MSAs, software licenses, SLAs, NDAs, and vendor agreements that balance business enablement with risk management.
- Manage contract lifecycle. Own the end-to-end process — intake, redlines, approvals, execution, and record-keeping — to drive consistency and efficiency.
- Build playbooks and templates. Develop standard forms, negotiation playbooks and clause libraries to enable scalable deal execution.
- Be a trusted BD + GTM partner. Advise on deal structures, IP, privacy and compliance issues to support strong customer and partner relationships.
- Operationalize legal work across teams. Partner with Leadership, BD/GTM, Operations and Product teams to standardize workflows, facilitate communication, support strategic initiatives, and operationalize legal work.
- Support broader corporate matters. Administer equity plan, address employment-related issues, and other corporate legal matters as needs evolve.
- 3+ years of commercial law experience at a reputable law firm; in-house experience strongly preferred.
- Strong background in commercial contracts, with the ability to independently lead negotiations with customers and partners.
- Excellent drafting, negotiation, and communication skills, with the ability to balance legal risk and business priorities.
- Familiarity with crypto; willingness to deepen crypto knowledge required.
- Ability to operate independently in a dynamic environment while maintaining cross-functional alignment.
- Commitment to integrity, pragmatism, and long-term impact.
- Licensed to practice law in at least one U.S. state; JD or LLM from a reputable U.S. law school.
- Experience advising crypto or Web 3 projects.
- Prior in-house counsel role at a growth-stage startup.
- Familiarity with evolving crypto regulation.
