About this role: Groq is seeking an experienced Corporate Lawyer to serve as the primary legal advisor for Groq’s Legal, Finance and Executive team on all corporate and securities matters. The ideal candidate is a strategic thinker, curious learner, and thrives in a fast-paced, high-growth environment.
Responsibilities:
- Advise on corporate and securities law matters.
- Manage corporate governance of subsidiaries.
- Provide legal support for board matters.
- Advise on equity-related matters.
- Support corporate entity financial operations and compliance.
- Maintain relationships with internal teams and external advisors.
- Oversee company disclosure materials for securities law compliance.
- Lead corporate and securities legal projects.
- Monitor changes in corporate laws.
- Manage outside counsel.
Ideal candidates have/are:
- At least 5 years of in-house corporate legal experience.
- Experience with corporate and securities laws.
- Experience drafting board materials and governance documents.
- Ability to think critically and strategically.
- Strong communication and interpersonal skills.
- Ability to be flexible in a fast-paced environment.
- Juris Doctor (JD) degree.
- Admitted to the bar.
