Revalize Software is seeking a highly motivated and forward-thinking General Counsel to lead the global Legal function.
This role reports to the CFO and offers the opportunity to work for a fast-paced, growth-oriented PE-backed software company.
Responsibilities:
- Manage global legal function, including commercial contracting, corporate governance, risk mitigation and security.
- Assist with legal due diligence and legal function integration for acquired companies.
- Serve as Chief Privacy Officer, ensuring compliance with global data privacy laws.
- Safeguard sensitive information and implement policies to protect customer and employee data.
- Effectively communicate with executive leadership and manage a team of legal professionals.
- Manage contracting processes for Revalize products, including Master Services Agreements and complex commercial contracts (software licenses, service agreements, partnership deals).
- Drive standardization and continuous improvement of contract terms.
- Serve as a cross-functional business partner, providing guidance on legal risks and ensuring compliance.
- Lead the legal integration of acquired entities, ensuring alignment with corporate policies and seamless transition of contracts and IP assets.
- Oversee corporate secretarial matters and ensure full legal compliance across jurisdictions.
- Drive legal entity rationalization initiatives.
- Recommend, implement, and improve information security and privacy policies.
- Assist with employee agreements, including equity compensation, offer letters, and separation agreements.
Qualifications:
- Juris Doctorate degree
- Active law license
- 15+ years of progressive legal experience, with at least 3 years in a leadership role managing a global legal team
- Experience with German law (preferred)
- Solid understanding of corporate, commercial, and intellectual property law and contractual principles
- Experience drafting and negotiating technology-related subscription agreements (cloud-based offerings)
- Practical knowledge and experience in privacy protection strategy, policies, and procedures
- Implementation of privacy training programs
- Reside in Eastern or Central Time Zone of the United States
