Full-Time Senior Corporate Counsel

Automattic, the company behind WordPress.com, Jetpack, Tumblr, and WooCommerce, seeks a talented attorney to lead corporate, securities, M&A, and governance work. You'll partner with operations teams, offering strategic advice globally.

Required Qualifications:

• US-qualified attorney with 5+ years' experience.
• Expertise in late-stage private business issues, including securities law compliance, corporate governance, international M&A, equity/debt transactions, subsidiary management, and employee equity programs.
• JD from a US-accredited law school.
• Proven ability to work on complex transactions (tender offers, fund formations, public offerings).
• Experience in international contexts (bonus points).
• Strong business acumen.
• Excellent communication skills; clear, concise, and informative documentation.
• Ability to operate independently and thrive in a fast-paced environment.

Responsibilities:

1. Lead all global securities law matters and compliance.
2. Manage global subsidiaries (board meetings, structure changes, intercompany agreements, local compliance).
3. Assist with board agendas and materials.
4. Oversee stock plans and stock transactions.
5. Lead deal execution for fundraising and M&A.
6. Manage investment portfolio and venture investments.
7. Design legal and business processes for international scaling.
