Capital Markets and Financing Transactions: Lead support of complex transactions. Manage the deal process from planning to closing. Draft and negotiate documents. Oversee obligations. Advise business on legal issues and risks.
Bitcoin-Related Initiatives: Lead support of strategic initiatives, such as treasury reserve management. Manage matters related to Bitcoin development, education, and advocacy.
General Corporate and Governance: Assist with corporate governance matters (board and committee materials, minutes, resolutions). Advise on board matters. Develop policies. Implement legal controls for sound governance. Advise on employee equity matters. Manage domestic subsidiary governance.
Securities Law and Regulatory Compliance: Advise on compliance with federal and state securities laws. Contribute to and review SEC filings (proxy statements, Forms 10-K, 10-Q, 8-K, Section 16 filings). Advise on investor relations and communications. Review press releases, earnings announcements, presentations, and other marketing materials.
Commercial Matters: Draft, review, and negotiate commercial contracts (vendor and non-disclosure agreements).
Finance & Tax: Work closely with Finance, Treasury, and Tax on banking and investment matters; corporate aircraft matters, employee equity matters; intercompany agreements; tax planning; internal controls; and enterprise risk management.
External Counsel Management: Manage external counsel effectively and within budget.
Training and Development: Provide training on legal and compliance matters. Stay current on legal trends. Contribute to developing best practices.
Qualifications: J.D. from a U.S. accredited law school. Licensed to practice in at least one U.S. jurisdiction. 4-8 years of experience with reputable law firm(s) and/or in-house departments. Extensive experience with capital markets/financing transactions and other corporate transactional matters. Experience with corporate governance matters and publicly traded companies. Knowledge of Securities Act of 1933, Securities Exchange Act of 1934, and Sarbanes-Oxley Act. Ability to manage a fast-paced workload and add value to multiple projects. Self-starter with project ownership. Superior communication and interpersonal skills.
