We’re looking for a Senior Counsel, Sales to join Procore’s Go-to-Market (GTM) Legal team within the Legal, Regulatory & Compliance (LRC) Department.
In this role, you’ll provide broad commercial support to Procore’s Sales organization, primarily focused on our Strategic accounts. You’ll guide complex transactions with customers through review, negotiation, and execution.
To succeed, you’ll need to show up as a leader, collaborator, project manager, and self-starter able to drive multiple initiatives simultaneously.
As Senior Counsel, Sales, you’ll partner with cross-functional teams (Sales, Finance, Security, Product, Engineering, Global Data Protection & Privacy, and other key LRC functions) to ensure exceptional sales enablement and accelerate deal velocity.
Your passion for technology and deep knowledge of Enterprise and Strategic customers in a global commercial SaaS environment allows you to provide practical and solutions-oriented advice to your business partners, effectively calculate potential risks, manage workloads, and prioritize demands.
This position reports to our Senior Director & Assistant General Counsel, Sales.
This role can be remote or based in one of Procore’s U.S.-based office locations.
What you’ll do:
- Draft, review, and negotiate complex commercial and SaaS sales agreements (e.g., MSAs/subscription service agreements, terms of use, data processing agreements, security agreements, statements of work, order forms).
- Provide practical, commercial advice to global Sales executives and stakeholders on sales/support-related legal issues, balancing business objectives with legal risks (identifying, managing, and communicating risks and opportunities).
- Help shape business/legal terms, deal structures, and improve transaction processes.
- Develop, maintain, and refine templates, playbooks, fallback guides, guidelines, customer collateral, benchmarking, data reports, FAQs, policies, processes, and procedures.
- Onboard, train, and manage outside counsel.
- Be accountable to GTM Legal team's SLAs and KPIs.
- Deliver training to Sales and Customer Success on agreements.
- Stay abreast and advise on impacts of new and proposed SaaS, cloud computing, and commercial law developments.
What we’re looking for:
- Admitted, active, and in good standing with the state bar or registered/eligible for in-house counsel registration.
- 8+ years of progressively responsible transactional commercial legal experience (prominent national law firm/in-house legal department, ideally in a SaaS or high-growth tech company).
- Extensive experience drafting, reviewing, and negotiating complex commercial and SaaS sales agreements.
- Deep understanding of SaaS business models, sales motions, and commercial negotiation best practices.
- Experience with revenue recognition.
- Proven ability to motivate and influence internal/external stakeholders.
- Comfort negotiating data privacy agreements (e.g., GDPR, CCPA/CPRA).
- Ability to manage workloads, client demands, and shifting priorities.
- High EQ, impeccable ethics, integrity, and judgment.
- Ability to operate autonomously as a self-starter and team player.
Base Pay Range: $214,000 - $294,250
Eligible for Bonus Incentive Compensation.
