We’re looking for a Senior Counsel, Sales, to join Procore’s Go-to-Market (“GTM”) Legal team within the Legal, Regulatory & Compliance (“LRC”) Department. You’ll provide broad commercial support to Procore’s Sales organization, primarily focused on our Strategic accounts. You’ll guide complex transactions with customers through review, negotiation, and execution.
To succeed, you’ll need to be a leader, collaborator, project manager, and self-starter able to drive multiple initiatives simultaneously.
You’ll partner with cross-functional teams (Sales, Finance, Security, Product, Engineering, Global Data Protection and Privacy, and other key LRC functions) to ensure exceptional sales enablement and accelerate deal velocity.
Your passion for technology, knowledge of Enterprise and Strategic customers, and understanding of global commercial SaaS environments will enable you to provide practical and solutions-oriented advice. You’ll effectively calculate potential risks, manage workloads, and prioritize multiple business partner demands.
Responsibilities:
- Draft, review, and negotiate complex commercial and SaaS sales agreements (e.g., MSAs/subscription service agreements, terms of use, data processing agreements, security agreements, statements of work, order forms, and other commercial agreements)
- Provide practical commercial advice to global Sales executives and internal stakeholders on legal issues, balancing business objectives with legal risks.
- Help shape business and legal terms and deal structures, improve transaction processes and practices.
- Develop, maintain, and refine templates, playbooks, and other essential tools for the GTM Legal team.
- Onboard, train, and manage outside counsel as needed.
- Be accountable to the GTM Legal team’s SLAs and KPIs.
- Deliver training to Sales and Customer Success organizations on agreements, provisions, negotiation, and other relevant legal issues.
- Stay abreast and advise on potential impacts of new SaaS, cloud computing, and commercial law developments.
Qualifications:
- Admitted to and in good standing with a state bar.
- 8+ years of progressively responsible transactional commercial legal experience in a prominent national law firm or in-house legal department, ideally at a SaaS or high-growth technology company.
- Extensive experience drafting, reviewing, and negotiating complex commercial and SaaS sales agreements.
- Deep understanding of SaaS business models, sales motions, and commercial negotiation best practices.
- Demonstrated track record of motivating and influencing stakeholders.
- Comfortable negotiating data privacy agreements (e.g., GDPR, CCPA/CPRA).
- Ability to manage workloads, multiple demands, and shifting priorities in a fast-paced environment.
- High EQ, professional ethics, integrity, and ability to handle confidential information.
- Ability to operate autonomously while being a team player.
Compensation: $200,000 - $275,000 + Bonus Incentive
